Most firms enter merger or MSO conversations from a reactive position, evaluating opportunities as they arise rather than shaping how they will be evaluated. That approach leads to average outcomes. We work with firms to prepare in advance by clearly defining economics, refining financial and operational presentation, ensuring partner alignment and positioning the firm for the most advantageous deals. When a firm is organized and intentional before entering the market, discussions move more efficiently, perceived risk is reduced, and the firm is far more likely to be viewed as a "platform" rather than just another law firm. MSO Strategy, Structuring & Operational Design

Creating an internal MSO offers firms several advantages. They can try the structure without being permanently committed to it. It creates a separate entity that can attract the best C-Level talent by offering equity. It demonstrates the efficiency to partners who might be resistant to Private Equity opportunities later. It can increase both the valuation and quality of deals offered later. 
However, if done wrong, they are wrought with problems and actually decrease the value of the firm in the eyes of investors. We help firms evaluate whether an MSO is appropriate and if so, design a framework that improves clarity, scalability, and long term flexibility. The objective is not to anticipate a specific investor structure, but to create a clean and adaptable operating model that reflects how the firm functions and how it can grow.

We remain available to support post-closing alignment, integration considerations, and the preservation of the firm’s strategic objectives as the new structure is implemented.
